Nationwide Mortgage Licensing System and Registry means a mortgage licensing system developed and maintained by the Conference of State Bank Supervisors and the American Association of Residential Mortgage Regulators for the licensing and registration of licensed mortgage loan originators. Stock Pledge Agreements means, collectively, the NY&Co Stock Pledge Agreement, the Parent Stock Pledge Agreement, the Xxxxxx Stock Pledge Agreement and any other stock pledge agreement at any time made in favor of Agent, for itself and the ratable benefit of the Lenders and the Bank Product Providers, in connection with this Agreement. PSC means the New York State Public Service Commission.

Motorsport Australia means the Confederation of Australia Motor Sport Ltd. State Pledge means the pledge of the State of Texas as set forth in Section 39.310 of the Securitization Law. Holdings Pledge Agreement means the Holdings Pledge Agreement executed and delivered by Holdings and Administrative Agent on the Closing Date, substantially in the form of Exhibit XIX annexed hereto, as such Holdings Pledge Agreement may thereafter be amended, supplemented or otherwise modified from time to time. Share Pledge Agreement means each pledge agreement entered into by the Issuer or Vivskä (as applicable) (each as pledgor) and the Trustee (on behalf of itself and the Holders) in respect of first priority pledges of all shares held by the Issuer or Vivskä (as the case may be) in a Pledged Company, granted in favour of the Trustee and the Holders (represented by the Trustee).ĬMBI means Chase Manhattan Bank International, an indirect wholly-owned subsidiary of Bank, located in Moscow, Russia, and any nominee companies appointed by it.ĮSMP means the Recipient’s environmental and social management plan for the Project furnished to the Association on March 28, 2009, as such plan may be updated from time to time by agreement between the Recipient and the Association, setting forth the mitigating, monitoring and institutional measures to be taken during the implementation and operation of the Project to offset or reduce adverse environmental and social impacts to levels acceptable to the Association.
Share Pledge means as defined in Section 5.1(g).
